Transaction Advisor (m/f/x)

Engagement: Independent Consultant

Revetas seeks support to enhance capacities in its in-house legal teams of 4 legal professionals by way of engaging a "Transaction Advisor" as an independent consultant to support with some of the following tasks:


  • Monitoring legal developments in the Revetas fields of operation, i.e. AIFMD, FATCA, EMIR as well as local CEE law developments in relation to real estate, banking, corporate governance, etc.
  • Conduct KYC/AML checks of Revetas' counterparties and coordinate KYC process conducted on Revetas group entities
  • Coordinate and conduct Non-Disclosure agreement for potential new investment opportunities and co-investors
  • Assume responsibility for the Revetas legal database; help develop and improve templates and boiler-plate documents

M&A and Transaction Related

  • Drafting and negotiating heads of terms, letters of intent, share purchase agreements, and non-disclosure agreements with sellers and purchasers of commercial real estate
  • Supervising and overseeing the legal due diligence review in relation to an acquisition / disposal

Finance Related

  • Drafting and reviewing term sheets with financing banks
  • Reviewing facility agreements and security agreements in relation to financing of acquisitions
  • Organising, preparing and coordinating with financing banks all Know Your Customer related documents

Asset Management

  • Liaising on daily basis with legal advisors to the portfolio companies
  • Coordinating day-to-day legal advice in relation to real estate owned by the Revetas Funds
  • Providing legal support to the Group Asset Manager and the Investment Director on assisting and overseeing new/ongoing conflicts/litigations
  • Monitoring borrower obligations under the existing finance agreements and supporting the asset management team in complying with covenants and undertakings under existing loan agreements

Fund Related

  • Assessing and liaising with legal and tax advisors on investment structuring options
  • Establishing of fund, co-investment and special purpose vehicles, including regulatory filings in several jurisdictions
  • Liaising with and answering requests of investors in the course of limited partnership agreement negotiations
  • Coordination between investors and fund administrators and managing of investor admittance process, including review of term sheets, subscription agreements, private placement memorandum updates, side letters, etc.
  • Coordination of investor KYC process with fund administrators and monitoring of EU and international legal framework as regards changes to alternative investment fund, private equity, real estate, investor protection, tax structuring or related regulations

Skills Required

  • Law degree from a leading university; additional qualifications are desirable, but not a requirement
  • Bar admission desirable, but not a requirement
  • 1-4 years of professional experience in cross-border transactions with relevance to the above-mentioned fields of operation
  • Relevant professional experience must have been gained at a well-known international law firm or a real estate private equity company
  • Proven interest in Central and Eastern Europe
  • Excellent English skills, including English language drafting, negotiating and presentation skills; Working knowledge of German or a CEE language is preferable, but not a requirement
